Justin Bons, founder of Cyber Capital, has sharply criticized the claim that XRP is decentralized. In his view, selling XRP to retail investors as a decentralized network is “fraud.” The debate is coming at a sensitive time, because Evernorth is preparing for its Nasdaq debut under ticker XRPN.

Criticism of the XRP Ledger

The core of Bons’ objection is the way the XRP Ledger reaches consensus. He says XRP effectively works like a Proof of Authority system, where power sits with permissioned validator lists published by Ripple and the XRP Ledger Foundation. In his view, the parties that manage those lists have too much influence over who gets to participate and how the network operates.

Bons also warned about the security side of the debate. According to him, undisclosed software changes create unnecessary risks for network participants and investors. The proposed change could be activated on October 9 if validators gave enough support under the network’s voting rules.

Schwartz Defends the Network

David Schwartz, Ripple’s CTO Emeritus and one of the ledger’s original architects, rejects that reading. He has previously said that anyone can run a node or validator and that the Unique Node List does not really control governance. According to Schwartz, honest nodes enforce the rules and software choice ultimately decides conflicts, just like on other networks.

That means the debate is not just about technology, but also about trust. For investors, the key point is that the question of whether XRP is really decentralized is back at the center right as a new public market vehicle tied to the token is coming to market.

Why Evernorth Matters

Evernorth, the XRP treasury company backed by Ripple, expects to complete its merger with Armada Acquisition Corp. II. If the listing goes through, the company will trade on Nasdaq under XRPN on Monday, October 12. The company holds about 473 million tokens and has support from Ripple, Pantera and Kraken, among others.

For European crypto followers, that timing matters because it shows how a public listing and a debate over network structure can reinforce each other. The launch also makes clear that the market is not only looking at the token, but also at the party holding the tokens.
